Terms & Conditions - OD Immersion (ODI)

Effective Date: 09-01-2025

Welcome to OD Immersion (“ODI”). By enrolling in our programs, subscribing to our services, or using our resources, you (“Client”) agree to the following Terms & Conditions.

1. Our Services

ODI provides consulting, education, and training for optometry practices.

We do not:

  • Provide direct patient care or medical treatment.

  • Sell or certify medical devices.

  • Guarantee outcomes or regulatory approvals.

ODI is an advisory and educational partner — you are responsible for patient care, treatment decisions, and compliance with all laws and regulations.

2. Program Enrollment

  • Details of ODI’s programs — including scope, features, minimum commitments, and fees — are published on ODI’s website and/or presented at checkout at the time of enrollment.

  • By enrolling, Client agrees to the program terms in effect at the time of purchase.

  • Program structures, features, and pricing may be updated by ODI from time to time. Updates will not affect existing commitments already in place unless agreed by both parties.

  • Additional devices or services purchased after initial enrollment may be subject to additional fees.

  • ODI will not provide advising on non-certified devices or third-party reseller certifications. Certification is the responsibility of the original manufacturer.

3. Payments

  • Subscriptions are billed in advance and renew automatically until canceled in accordance with Section 9.
  • One-time programs are billed at enrollment and grant access for the stated duration.
  • Tiered Pricing: Certain programs may include an initial pricing period (e.g., six months) followed by a reduced recurring fee. Any such tiered pricing structure will be clearly disclosed at the time of enrollment and on the payment page, and governs the Client’s payment obligations.
  • Payment Authorization: By enrolling, Client authorizes ODI to process recurring electronic debits from Client’s account in accordance with NACHA rules.
  • Cancellation of payment authorization may be requested at any time, but does not release Client from contractual obligations.
  • Late payments may be subject to interest as allowed by law.
  • All payments are non-refundable.

4. Intellectual Property

All content, guides, videos, and resources provided by ODI are protected intellectual property. You may use them internally within your practice but may not:

  • Copy, resell, or distribute them,

  • Share with other practices, or

  • Create derivative works.

5. Confidentiality

Both ODI and Client agree to keep each other’s business information confidential, except where disclosure is required by law.

6. HIPAA & Data Privacy

ODI does not collect or manage Protected Health Information (PHI). If access to PHI is required, a separate Business Associate Agreement (BAA) must be signed.

7. Insurance

ODI does not provide insurance or liability coverage for your practice. You agree to maintain your own professional and general liability insurance.

8. Non-Disparagement & Publicity

  • You agree not to make false or disparaging statements about ODI.

  • Unless you opt out in writing, ODI may reference your practice name and logo in marketing materials or client listings.

9. Term & Termination

  • Subscription programs require an initial commitment period as published at the time of enrollment. Afterward, they continue month-to-month until canceled with thirty (30) days’ written notice.

  • One-time programs end automatically at the conclusion of the stated access period.

  • ODI may suspend or terminate services immediately if payments are not made, if confidentiality/IP terms are breached, or if Client conduct harms ODI’s reputation.

  • Upon termination, all access to ODI resources and licenses ends immediately.

10. Force Majeure

ODI is not responsible for delays caused by events beyond our control (e.g., natural disasters, pandemics, government restrictions).

11. Limitation of Liability

  • ODI’s liability is capped at the total fees you’ve paid in the past 12 months.

  • ODI is not responsible for indirect damages such as lost profits, patient claims, or device failures.

12. Indemnification

You agree to hold ODI harmless from any claims, damages, or expenses that arise from your use of our services, including treatment decisions, device use, or regulatory compliance.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia. Any disputes will be resolved by binding arbitration through the American Arbitration Association (AAA) in Virginia.

14. Updates to Terms

ODI may update these Terms & Conditions from time to time. Continued use of our services after notice of changes constitutes acceptance.
